Only legal U.S. residents of the fifty (50) United States and the District of Columbia who are eighteen (18) years of age or older at the time of entry are eligible to enter, excluding residents of New York, Florida, and Rhode Island. Officers, directors and employees of Sponsor and its parent, subsidiaries, affiliates, distributors, retailers, sales representatives, advertising and promotion agencies (all such individuals and entities referred to collectively, the “Promotion Entities”), and each of their immediate family members and/or people living in the same household are NOT eligible to enter the Sweepstakes or win a prize.

To enter the Sweepstakes, you must become a registered member of Instagram (registration is free). To register, download the Instagram application from the Apple App Store or Google Play Store and follow the instructions to become a registered member and create an account (“Account”). Once you've created your Account, tag a Celebrity (as defined below) in the comments of an official HEEL DRIP social media post designated by Sponsor for this Sweepstakes. Entrant's social media account must remain public until all winner verification has been completed. You will receive one (1) entry into the Sweepstakes once you have completed the above.

For purposes of this Sweepstakes, a “Celebrity” means a widely recognized public figure in entertainment, music, film, television, sports, fashion, business, or digital media. To qualify as a Celebrity under these Official Rules, the individual must satisfy at least one (1) of the following at the time they are tagged: (i) have a verified public account on a major social media platform; (ii) have a combined social media following of 2,000,000 or more across one or more major social media platforms; or (iii) be a nationally or internationally recognized public figure based on professional accomplishments, mainstream media recognition, or public notoriety, as determined by Sponsor. If a tagged individual does not qualify as a Celebrity under these Official Rules, the entry will not be eligible. Sponsor reserves the sole and final right to determine whether a tagged individual qualifies as a Celebrity. Participation by any Celebrity is entirely voluntary. No Celebrity is affiliated with, endorses, sponsors, or is associated with this Sweepstakes unless and until that Celebrity (or the Celebrity's verified representative) independently contacts Sponsor and voluntarily elects to participate and Sponsor accepts such participation. Limit one (1) entry per person and/or Account. All entries must be received by the end of the Promotion Period in order to participate. Proof of posting is not considered proof of such entry. Except as otherwise contemplated in these Official Rules, and to the extent entrants may otherwise elect at the time of entry, personal information collected in connection with the Sweepstakes will be used in accordance with Sponsor's privacy policy located at [•]. Important Note: If you opt to use Instagram via your wireless mobile device (which may only be available via participating wireless carriers and is not required to enter the Sweepstakes), standard text messaging and/or data rates may apply for each message sent or received from your handset according to the terms and conditions of your service agreement with your wireless carrier. Other charges may apply and may appear on your mobile phone bill or be deducted from your prepaid account balance. Wireless carriers' rate plans may vary, and you should contact your wireless carrier for more information. Participation in this Sweepstakes by mobile device means that you understand that you may receive additional messages by mobile device relating to this Sweepstakes, including to notify you if you are the winner, which may be subject to charges pursuant to your carrier's rate plan. Mobile device service may not be available in all areas. Sponsor shall have the right to disqualify any entries that Sponsor has determined, in its sole and exclusive opinion, fail to adhere to these Sweepstakes Official Rules, or the Instagram Terms of Use, expose Sponsor to any unacceptable degree of technical, legal or financial risks or problems, uses text and/or other components in a manner objectionable to Sponsor, or its affiliates, or is otherwise deemed inappropriate, all as determined by Sponsor, in its sole discretion. Sponsor's decisions are final and binding with respect to all matters relating to this Sweepstakes. Entry must be made by the entrant. Entries made by any other individual or any entity, and/or originating at any other web site or e-mail address, including but not limited to commercial sweepstakes subscription notification and/or entering service sites, will be declared invalid and disqualified for this Sweepstakes. Automated entries, bots, fake accounts, fraudulent activity, impersonation, manipulation of the Sweepstakes, or any attempt to interfere with the Sweepstakes are prohibited. Sponsor reserves the right to investigate suspected misconduct and disqualify any participant who violates these Official Rules.

A participant becomes a potential winner only if ALL of the following occur: (i) the tagged Celebrity, or the Celebrity's verified representative (including an agent, manager, attorney, publicist, or other authorized representative), independently initiates contact with Sponsor expressing interest in participating; (ii) the Celebrity accepts and receives DRIP COVERS from Sponsor; (iii) the Celebrity voluntarily publishes authentic photo and/or video content wearing DRIP COVERS on one or more of the Celebrity's official social media accounts; (iv) Sponsor determines that the participant's eligible entry directly resulted in the Celebrity's participation; and (v) the participant successfully completes all verification requirements described below. If multiple eligible participants tag the same Celebrity, Sponsor will determine the winner based on all available information, including but not limited to: (a) timing of the eligible entry; (b) communications from the Celebrity or the Celebrity's verified representative; and (c) any other relevant evidence demonstrating which participant directly led to the Celebrity's participation. The Celebrity's or verified representative's confirmation regarding how they learned about HEEL DRIP may be considered during this determination. Sponsor will apply these factors in good faith and on a consistent basis to all similarly situated entries. The potential prize winners will be notified by direct message on Instagram and/or using the contact information provided at the time of entry. It is entrants' responsibility to timely set account settings to accept contacts by Sponsor and to timely check your account for such messages. Sponsor shall have no liability for any winner notification that is lost, intercepted or not received by a potential winner for any reason. If, despite reasonable efforts, a potential prize winner does not respond within forty-eight (48) hours of the first notification attempt, or if a prize or prize notification is returned as unclaimed or undeliverable, such potential prize winner will forfeit the applicable prize. If any potential prize winner is found to be ineligible, or has not complied with these Official Rules, such potential prize winner will be disqualified.

Up to three (3) winners (“Winners”) may each receive a cash prize of $10,000 USD (each, a “Prize”), for a maximum aggregate Prize pool of $30,000 USD during the Promotion Period. Each Prize is non-transferable and may not be substituted except at Sponsor's sole discretion. Sponsor reserves the right not to award all three (3) Prizes if fewer than three (3) participants satisfy all eligibility and Winning Criteria requirements. Because Prizes are awarded based on the Winning Criteria and Determination of Winner process described above rather than by chance, there are no statistical “odds of winning” associated with this Sweepstakes.

Prize(s) will be awarded only if the potential prize winner fully complies with these Official Rules. All portions of the prize(s) are non-assignable and non-transferable. Each winner is solely responsible for all applicable federal, state, local, and other taxes, and the reporting consequences thereof, and for any other fees or costs associated with the applicable Prize. The potential winners must verify identity, verify eligibility, and complete all required affidavits, tax forms, and prize documentation (“Prize Claim Documents”), and respond within the timeframe specified by Sponsor. Failure to satisfy these requirements may result in disqualification and an alternate winner may be selected. If any potential winner fails or refuses to sign and return all Prize Claim Documents within three (3) days of prize notification, or such other time as specified by Sponsor, the winner may be disqualified. Sponsor makes no warranties, and hereby disclaims any and all warranties, express or implied, concerning any prize furnished in connection with the Sweepstakes. SUCH PRIZES ARE PROVIDED “AS IS” WITHOUT WARRANTY OF ANY KIND, EITHER EXPRESS OR IMPLIED, AND SPONSOR HEREBY DISCLAIMS ALL SUCH WARRANTIES, INCLUDING BUT NOT LIMITED TO, THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND/OR NON-INFRINGEMENT.

This Sweepstakes is in no way sponsored, endorsed, administered by, or associated with Instagram, Meta Platforms, Inc., Facebook, TikTok, YouTube, X (formerly Twitter), or any Celebrity referenced in this Sweepstakes. Entrants release Instagram and Meta Platforms, Inc. from any and all liability arising out of or relating to this Sweepstakes.

Any content posted by a participating Celebrity depicting Sponsor's products is subject to that Celebrity's own compliance with the FTC's Guides Concerning the Use of Endorsements and Testimonials in Advertising, including disclosure of any material connection between the Celebrity and Sponsor (e.g., receipt of free product). Sponsor does not control, and disclaims responsibility for, the content of any Celebrity's social media posts, and Sponsor's provision of product to a Celebrity does not constitute Sponsor's endorsement or adoption of that Celebrity's content.

Acceptance of a prize constitutes winner's permission for the Promotion Entities to use winner's name, city, state, likeness, and related promotional materials for advertising and publicity purposes without additional compensation, except where prohibited by law. Entrants agree that the Promotion Entities (A) shall not be responsible or liable for, and are hereby released from, any and all costs, injuries, losses or damages of any kind arising from participation in the Sweepstakes or from entrants' acceptance, receipt, possession and/or use of any prize, and (B) have not made any warranty, representation or guarantee, express or implied, with respect to any prize. Sponsor is not responsible for lost, late, incomplete, delayed, corrupted, inaccurate, or misdirected entries, technical failures, platform outages, or circumstances beyond its reasonable control affecting the administration of the Sweepstakes. Sponsor reserves the right to modify, suspend, or terminate the Sweepstakes if it determines, in its sole discretion, that fraud, technical failures, legal requirements, force majeure events, or any circumstance compromises the integrity or proper administration of the Sweepstakes. These Official Rules cannot be modified or amended except in a written document issued by a duly authorized representative of Sponsor. The invalidity or unenforceability of any provision of these Official Rules shall not affect the validity or enforceability of any other provision.

ALL ISSUES AND QUESTIONS CONCERNING THE CONSTRUCTION, VALIDITY, INTERPRETATION AND ENFORCEABILITY OF THESE OFFICIAL RULES OR THE RIGHTS AND OBLIGATIONS OF ENTRANTS OR SPONSOR IN CONNECTION WITH THE SWEEPSTAKES SHALL BE GOVERNED BY AND CONSTRUED IN ACCORDANCE WITH THE INTERNAL LAWS OF THE STATE OF ILLINOIS WITHOUT GIVING EFFECT TO ANY CHOICE OF LAW OR CONFLICT OF LAW RULES OR PROVISIONS THAT WOULD CAUSE THE APPLICATION OF ANY OTHER STATE'S LAWS. ENTRANTS AGREE THAT ANY DISPUTES ARISING FROM OR RELATING TO THIS SWEEPSTAKES OR THESE OFFICIAL RULES SHALL BE RESOLVED EXCLUSIVELY IN THE STATE OR FEDERAL COURTS LOCATED IN THE STATE OF ILLINOIS, UNLESS APPLICABLE LAW REQUIRES OTHERWISE, SUBJECT TO THE ARBITRATION PROVISION BELOW.

By participating in this Sweepstakes, each entrant agrees: (i) that any and all disputes the entrant may have with, or claims entrant may have against, the Promotion Entities relating to or arising out of the Sweepstakes or the awarding or redemption of any prize will be resolved exclusively by final and binding arbitration administered by JAMS and conducted before a sole arbitrator in accordance with the rules of JAMS; (ii) this arbitration agreement is made pursuant to a transaction involving interstate commerce, and shall be governed by the Federal Arbitration Act (“FAA”), 9 U.S.C. §§ 1-16; (iii) the arbitration shall be held in Chicago, Illinois; (iv) the arbitrator's decision shall be controlled by the terms and conditions of these Official Rules; (v) the arbitrator shall apply Illinois law consistent with the FAA and applicable statutes of limitations, and shall honor claims of privilege recognized at law; (vi) there shall be no authority for any claims to be arbitrated on a class or representative basis; (vii) the arbitrator shall not have the power to award punitive damages against the entrant or Sponsor; and (viii) in the event that administrative fees and deposits to initiate arbitration exceed $125 USD and entrant is unable to pay the excess, Sponsor agrees to pay them, subject to ultimate allocation by the arbitrator. With the exception of subpart (vi), if any part of this arbitration provision is deemed invalid, unenforceable or illegal, the balance shall remain in effect. If subpart (vi) is found invalid, unenforceable or illegal, the entirety of this arbitration provision shall be null and void.
